These Terms of Use (“Terms”) govern your access to and use of all products, services, websites, and mobile applications operated by CareClinic Software Inc., including its subsidiaries, affiliates, and associated platforms (collectively “CareClinic,” “we,” “our,” or “us”). By accessing or using any CareClinic product or service, you agree to be bound by these Terms. If you do not agree, do not use our services. CareClinic may update these Terms at any time, and your continued use after changes take effect means you accept the updated Terms.
Eligibility
You must be at least 16 years old, or have the consent of a parent or legal guardian, to use CareClinic. You may use our services only in compliance with applicable laws and regulations. By using CareClinic, you represent that you meet these eligibility requirements and that the information you provide is accurate and complete.
Accounts and Subscriptions
Some features require a registered account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. CareClinic reserves the right to suspend or terminate accounts that violate these Terms or applicable laws.
Subscriptions renew automatically unless cancelled. If you purchased through the Apple App Store or Google Play, manage cancellations within your storefront account. If you purchased through the CareClinic website, contact support@careclinic.io to cancel future renewals.
Deactivating your account does not cancel your subscription. To stop future charges, you must cancel your subscription. Deactivated accounts may be securely retained so you can reactivate later, subject to our data retention policy and applicable privacy laws.
Refunds Policy
As we offer non-tangible irrevocable goods, we do not issue refunds once an order is completed and the user account is upgraded to premium. As a customer, you are responsible for understanding this upon purchase. We do not satisfy refund, return, or exchange requests based on incompatibility with third-party software or systems except where expressly stated as compatible. We do not guarantee that our products are fully compatible with any third-party programs, and we do not provide support for third-party applications.
Deactivation of your account does not constitute deletion of your account or automatic cancellation of your subscription. Please email support@careclinic.io to cancel your premium subscription.
No Medical Advice
CareClinic does not provide medical advice, diagnosis, or treatment. The information and tools offered through our platforms are intended for general wellness, self-management, and informational purposes only. They are not a substitute for professional medical care or clinical judgment.
Always seek the guidance of a qualified healthcare professional with any questions regarding medical conditions, treatment decisions, or before making changes to your health routines. Never disregard or delay seeking professional advice because of information presented through CareClinic.
Our platforms help users record, track, and organize their own health information, medication schedules, and lifestyle data, and to share or discuss this information with healthcare professionals. CareClinic does not verify or guarantee the accuracy of user-generated or third-party data. Use of any CareClinic product means you acknowledge and agree that it is a self-management support tool, not a clinical or diagnostic system.
Intended Use and Safety
CareClinic develops digital health platforms for personal health management, tracking, and communication. Our products enable individuals and organizations to record, organize, and monitor health information, medications, and daily activities to support awareness, adherence, and coordination with healthcare professionals.
CareClinic products are tested for accuracy, reliability, and data integrity before release. We apply structured quality assurance, usability reviews, and security testing. Safety reviews are conducted regularly to identify potential issues and improve user experience. Security and privacy protections are built into all stages of design and deployment.
Information provided through CareClinic platforms is intended to support personal health management and communication between individuals and healthcare professionals, not to replace professional medical judgment or clinical evaluation.
Product Classification and Compliance Notice
Unless explicitly stated, CareClinic products are not classified as medical devices and are not cleared or approved by any regulatory authority. Certain features may be designed to align with applicable regulatory frameworks but are not intended to perform diagnostic or therapeutic functions. Any future product that requires regulatory clearance will clearly identify its regulatory status and applicable jurisdiction.
Organizations using CareClinic for data collection or research purposes must comply with all relevant ethical, legal, and privacy requirements. CareClinic does not assume responsibility for external compliance obligations related to such use.
Healthcare Professional Use
Healthcare professionals using CareClinic are responsible for exercising independent medical judgment and ensuring that any use of data from CareClinic complies with applicable professional standards, laws, and institutional policies. CareClinic does not replace clinical systems of record or decision support software. Clinical actions should not be based solely on information obtained through CareClinic without appropriate verification and patient assessment.
User and Data Accuracy
CareClinic does not guarantee the accuracy, completeness, or timeliness of data entered by users or imported from external systems. Users are responsible for verifying the information they record. CareClinic may display derived metrics or summaries based on user input, but these are provided for convenience and informational purposes only. We do not validate, review, or interpret health data beyond technical accuracy checks.
Third-Party Services and Links
CareClinic may integrate or connect with third-party applications, devices, or services. These third parties operate independently of CareClinic and have their own terms of use and privacy policies. We do not control, endorse, or assume responsibility for third-party content, services, or data practices. Use of any third-party integration is at your own discretion and risk.
Verifiable clinical records imported through Apple Health are accessed only when initiated by the user and are used solely for the user’s personal health management within CareClinic. These records are obtained after explicit user permission and are not used for advertising, eligibility decisions, or shared with third parties except as described in our Privacy Policy or when required by law.
Disclaimer of Warranties
CareClinic services are provided on an “as is” and “as available” basis. CareClinic disclaims all express and implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law. CareClinic does not warrant that the services will be uninterrupted, error-free, or secure. Information provided by users or third parties is not verified or endorsed by CareClinic.
Limitation of Liability
To the maximum extent permitted by law, CareClinic, its affiliates, officers, directors, employees, agents, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from or related to your use of our services. In no event shall CareClinic’s total liability exceed the amount paid, if any, by you during the twelve months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless CareClinic, its officers, employees, agents, subsidiaries, affiliates, successors, and partners from and against all claims, demands, damages, losses, liabilities, costs, or expenses (including reasonable attorney and expert fees) arising out of or related to: (a) your access to or use of CareClinic services; (b) your violation of these Terms; (c) your infringement of any intellectual property, privacy, or other rights of a third party; or (d) any data, information, or content you upload or share through CareClinic. This obligation will survive termination of these Terms and your use of the services.
Intellectual Property
All content, software, user interfaces, graphics, trademarks, and other intellectual property appearing on CareClinic platforms are owned by or licensed to CareClinic Software Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use CareClinic products for personal or authorized organizational purposes. You may not copy, modify, reverse engineer, distribute, or create derivative works based on CareClinic intellectual property without prior written consent.
Additional Terms for Specific Programs
Certain CareClinic programs, integrations, or enterprise partnerships may require you to accept supplemental terms or agreements. These terms will govern your participation in those specific programs in addition to this document. If a conflict arises, the supplemental terms will control for that specific program or feature.
Termination
CareClinic may suspend or terminate your access to its services at any time if you violate these Terms, engage in fraudulent or unlawful activities, or compromise the integrity or security of our systems. CareClinic reserves the right to discontinue any part of its services at its discretion, provided that such discontinuation does not violate applicable laws. Upon termination, your right to use the services will immediately cease. You remain responsible for any obligations accrued prior to termination, including fees and indemnity obligations. Sections concerning intellectual property, limitation of liability, and governing law will survive termination.
Data Incidents and Legal Disclosure
CareClinic maintains administrative, technical, and physical safeguards designed to protect data. In the event of an unauthorized access or breach, CareClinic will act in accordance with applicable privacy and data protection laws, including any required notifications to users or regulators. CareClinic may disclose data or account information when required by law, regulation, or valid legal process, provided that such disclosure is limited to the extent necessary to comply with the request.
Changes to Terms
We may revise these Terms periodically to reflect product updates, regulatory changes, or new legal requirements. The “Last Modified” date below indicates the most recent version. Updates become effective upon posting, and continued use of the services after such posting constitutes acceptance of the revised Terms.
Dispute Resolution
Before initiating legal action, you agree to attempt to resolve any dispute or claim with CareClinic through good-faith discussions by contacting support@careclinic.io. If a resolution cannot be reached, disputes will be handled by the courts of competent jurisdiction as stated below. Nothing in this section restricts either party’s right to seek injunctive or equitable relief for unauthorized use or infringement of intellectual property.
Governing Law
These Terms and any disputes arising from them are governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the provincial and federal courts located in Ontario, Canada for all disputes or actions arising under or related to these Terms or your use of CareClinic.
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted to fulfill its intent to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, along with any supplemental or program-specific terms referenced herein, constitute the entire agreement between you and CareClinic regarding the use of our services. They supersede any prior written or oral agreements concerning the same subject matter. Any waiver of a provision must be in writing and signed by CareClinic to be valid. Failure to enforce a provision is not a waiver of future enforcement.
